On 29 September 2020, the Dutch Senate’s justice committee decided that the Dutch Scheme bill can be dealt with as a formality (hamerstuk) without further debate. It did so after the Dutch Government submitted to the Dutch Senate’s justice committee its memorandum of reply (Memorie van Antwoord) regarding the Dutch Scheme, or to use the full title: the Act on confirmation of private restructuring plans (commonly referred to as the WHOA, after its Dutch acronym). Recent heeft het Hof van Cassatie de deur iets wijder opengezet voor schuldeisers van een failliete vennootschap om, hangende het faillissement, een individuele vordering in te stellen tegen de bestuurders van de gefailleerde (Cass. 5 september 2013, A.R. nr. Concreet mocht de fiscus de niet-betaalde bedrijfsvoorheffing, die opgenomen was in het passief van het faillissement, de facto integraal verhalen op de bestuurders, op grond van foutaansprakelijkheid.

Until now legal entities serving as board members, directors, or liquidators of companies could choose whether to subject themselves to VAT for the services they rendered. But according to the Belgian VAT administration’s published decision ET.125.180 on 20 November 2014, this optional regime will be abolished from 1 January 2015, making these entities liable for VAT mandatorily.

We expect this highly-anticipated bill to enter into force by this summer.

Imagine that a debtor voluntarily concludes a transaction with a third party where he knows (or should know) that it hinders the creditor’s possibilities of collecting the debt. In civil law countries, a creditor can invoke the nullification of that legal act by means of a so-called actio pauliana. This raises the question of which court has jurisdiction in the case of an international dispute, regarding an actio pauliana, that is instituted by a creditor against a third party?
