The changes to the director disqualification regime brought by the Rating (Coronavirus) and Directors Disqualification (Dissolved Companies) Act 2021 (the "Act") come into effect on 15 February 2022. We discuss the extension of disqualification proceedings and the impact on directors here.

The Changes

In our recent update on AGMs, we mentioned that the Government is due to pass legislation giving companies increased flexibility for holding Annual General Meetings, amongst other measures to help businesses through the COVID-19 situation.

It’s been reported that the board of directors of AIM-listed Patisserie Holdings plc, which owns the Patisserie Valerie chain of cafés, was not aware for almost a month that HMRC had filed a petition at the High Court of England and Wales to wind up its main trading subsidiary, Stonebeach Limited.
