Introduction

The Sapin II Act of November 8 2016 amended the regime governing directors' liability in an insolvency scenario in order to encourage the recovery of honest directors of failed businesses.

The High Court has held that a bank owed a duty of care to its customer when on notice that an agent acting for the customer was misusing his authority. In the case of Singularis Holdings Limited (in Official Liquidation) v Daiwa Capital Markets Europe Limited [2017] EWHC 257 (Ch), a bank was liable in negligence to its customer since it was on notice that its customer was at risk of being defrauded by its director but failed to stop payments made for the purpose of misappropriating funds of the company.

The Facts

In november 2016 is door de Hoge Raad bevestigd dat de vernietiging van een faillissement geen effect heeft op door een curator voordien verrichte beschikkingshandelingen. De curator kan rechtshandelingen verrichten tot het moment waarop de vernietiging in kracht van gewijsde is gegaan. Wel dient de curator terughoudend gebruik te maken van zijn bevoegdheden gedurende de periode waarin een vonnis tot faillietverklaring is vernietigd, maar deze vernietiging nog niet onherroepelijk is geworden.

Juridisch kader

De kwaliteit van de debiteurenportefeuille is van belang voor de beoordeling van de vraag of een tussentijds dividendbesluit door de beugel kan. Dat blijkt uit een uitspraak van de Hoge Raad d.d. 23 september 2016.

Hierna volgt een korte bespreking van een arrest dat met name van belang is voor de praktijk. Een praktijk waarin curatoren steeds vaker geconfronteerd worden met ICT-leveranciers die zich opstellen als dwangcrediteuren (ik roep Oilily in herinnering), maar niet onder de reikwijdte van artikl 37b Fw vallen.

Introduction

On November 8 2016 Parliament adopted the Sapin II Act to promote:

  • transparency;
  • the fight against corruption; and
  • the modernisation of the economy.

The act authorises the government to make decisions regarding legislative matters, including with regard to clarifying and modernising the status of security agents and their role in restructurings.

Introduction

A significant factor in the success of restructurings negotiated in French out-of-court processes (whether ad hoc mandates or conciliations) is the absolute confidentiality of the discussions conducted by a company and the relevant stakeholders (usually creditors, existing or new sponsors or key clients) under the supervision of a court-appointed insolvency practitioner.

Conflict liquidators have been appointed by the High Court to a group of companies to investigate claims by the director that the companies’ bank had artificially distressed the companies and driven them into administration.

Background

The Angel Group of companies was founded by Ms Julia Davey. They owned residential and commercial properties which were rented out. The companies borrowed substantial amounts from Lloyds HBOS. After getting into financial difficulties, the bank appointed administrators from KPMG over them.
