On June 6, 2023, the US Bankruptcy Court for the Southern District of Texas (the “Court”) confirmed Serta Simmons Bedding, LLC’s (“Serta”) Chapter 11 plan and held that Serta’s 2020 uptiering transaction (the “Uptiering Transaction”) did not breach Serta’s 2016 first lien credit agreement (the “Credit Agreement”).
On Wednesday 29 April the Outer House of the Court of Session in Edinburgh issued an opinion sanctioning two schemes of arrangement proposed by Premier Oil Plc and Premier Oil UK Limited (together, Premier Oil) (the Schemes). The Court addressed multiple grounds of challenge and did so without hearing live evidence, despite disputes of fact between the parties.
Artists have long relied on art galleries to sell their works, and artists and galleries frequently use the legal construct of a “consignment” to facilitate the display and sale of art. In a consignment, the gallery does not acquire title to a work. Instead, the artist (the “consignor”) entrusts the work to the consignee—in most cases a gallery or auction house—for the consignee to sell. If and when an artwork is sold, the gallery pays the artist out of the proceeds of the sale.
