The bankruptcy court denied recognition of a foreign proceeding in that the Cayman proceedings were similar to a corporate governance and fraud remediation effort and not of a collective nature seeking to reorganize, or liquidate; the foreign action was not insolvency related or for the purpose of reorganization or liquidation, thus failing to meet three required elements to constitute a foreign proceeding under 1517(a).
